Terms & Conditions

These Terms and Conditions govern the sale of plant, agricultural machinery, equipment, and related goods by [Company Name] (“the Company”). By purchasing goods from the Company, the purchaser agrees to be bound by these Terms and Conditions.
 

1. Definitions

Purchaser refers to the individual or business purchasing machinery or equipment.
Goods refers to all plant machinery, agricultural machinery, attachments, parts, and equipment supplied by the Company.

2. Acceptance of Terms

By placing an order, making payment, or accepting delivery of goods from the Company, the purchaser confirms that they have read, understood, and agreed to these Terms and Conditions.

3. Product Information

The Company makes every reasonable effort to ensure that descriptions, photographs, and specifications of goods are accurate.

However:

  • Images may be for illustrative purposes only

  • Specifications may vary

  • Minor differences may occur

Purchasers are strongly encouraged to inspect machinery before purchase where possible.

4. Used Machinery

Unless otherwise stated in writing:

  • Used machinery is sold as seen and tested

  • No warranty is implied or given on used equipment

The purchaser accepts the condition of the machinery at the time of sale.

5. Pricing

All prices are quoted in GBP (£) unless otherwise stated.

Prices may be subject to:

  • Value Added Tax (VAT) where applicable

  • Delivery or transportation charges

  • Additional service or preparation costs

The Company reserves the right to amend prices at any time prior to order confirmation.

6. Payment Terms

Full payment must be received and cleared before machinery is:

  • released

  • delivered

  • collected

Accepted payment methods may include:

  • bank transfer

  • debit or credit card

  • other methods approved by the Company

The Company reserves the right to cancel any order if payment is not received within the agreed timeframe.

7. Ownership of Goods (Retention of Title)

Ownership of all goods remains with [Company Name] until full payment has been received in cleared funds.

Until ownership transfers:

  • the purchaser must not sell, transfer, or dispose of the goods

  • the goods must remain identifiable as the Company’s property

The Company reserves the right to recover goods if payment is not made in full.

8. Delivery and Transport

Delivery may be arranged by the Company at an agreed cost to the purchaser.

Delivery charges depend on:

  • location

  • size and weight of machinery

  • transport requirements

Delivery timelines are estimates only and may be affected by circumstances beyond the Company’s control.

9. Risk and Responsibility

Risk in the goods passes to the purchaser upon:

  • delivery to the agreed location, or

  • collection by the purchaser or their appointed carrier.

From this point forward, the purchaser is responsible for the machinery.

10. Inspection of Goods

The purchaser must inspect goods upon delivery or collection.

Any issues, damage, or discrepancies must be reported to the Company within 24 hours of receipt.

Failure to notify the Company within this timeframe may result in the issue being deemed accepted.

11. Returns, Refunds and Warranty

Returns, refunds, and warranty claims are governed by the Company’s:

  • Refund Policy

  • Returns & Warranty Policy

All policies are available on the Company’s website and form part of these Terms and Conditions.

12. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for:

  • loss of profits

  • loss of business

  • operational downtime

  • loss of contracts

  • indirect or consequential damages arising from the use or inability to use the machinery

The Company’s total liability shall not exceed the purchase price of the goods supplied.

Nothing in these Terms excludes liability for:

  • death or personal injury caused by negligence

  • fraud or fraudulent misrepresentation

  • any liability that cannot be excluded under applicable law.

13. Use and Operation of Machinery

The purchaser is responsible for ensuring machinery is:

  • operated safely

  • used for its intended purpose

  • maintained according to manufacturer guidelines

  • operated by appropriately trained individuals

The Company accepts no liability for misuse, improper operation, or failure to maintain equipment.

14. Force Majeure

The Company shall not be liable for failure or delay in performing obligations where such failure is caused by circumstances beyond reasonable control, including but not limited to:

  • severe weather

  • transport disruption

  • supplier failure

  • mechanical breakdown

  • labour disputes

  • government restrictions

15. Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising from the sale of goods shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. Changes to These Terms

The Company reserves the right to update or amend these Terms and Conditions at any time. Updated versions will be published on the Company’s website.
